I. Highlights of New Laws

The Ministry of Commerce Promulgated the Measures to Further Monitor Direct Selling Industry

For the purpose of further adherence to and implementation of the “Regulations of Administration of Direct Selling” (the Regulations) and further strengthening the monitor over direct selling activities, the Ministry of Commerce promulgated the “Administrative Measures for Establishment of Service Network in Direct Selling Industry” (iSinolaw Reference ID:10019403, hereinafter referred to as the “Measures”) on September 20, 2006.

Under the Measures, The application material submitted by the applicant enterprises shall include the plan of service network in the area where it proposes to engage in direct selling. The service network as referred to in the plan shall not be set up in residential housings, schools, hospitals, troops and government offices.

According to the Measures, the direct selling enterprise which lawfully obtains a direct selling business license shall, within six months after the handing down of the approval document, complete the establishment of service network according to the submitted and approved plan of service network. The enterprise which fails to complete the establishment of service network according to the submitted and approved plan of service network within six months shall not engage in the direct selling business in the area where the plan of service network fails to be completed. If such enterprise intends to conduct the direct selling business in the said area, it shall make a separate declaration.

The Measures require that the relevant competent commercial authority shall verify and examine the established service network within its respective jurisdiction and make a one-off report on the verification result to the Ministry of Commerce for filing. The direct selling enterprise shall not carry out any direct selling activity before the completion of the examination and filing procedure.

The Measures stipulate that the direct selling enterprise may set up new service network based on the needs of its business development. No approval shall be required if a new service network is set up in the area which has been approved for engaging in direct selling activities. However, the plan for the addition shall be reported to the Ministry of Commerce for filing through the competent provincial commercial authority. The Ministry of Commerce shall publicize the new service network in the area where the direct selling enterprise has been approved for engaging in direct selling after the filing. A direct selling enterprise which plans to adjust its plan of service network, or intends to reduce its service network shall report to its original approval authority for such approval, and file it according to the provisions.

The Measures also define the relevant penalties. If the direct selling enterprises, the relevant competent commercial authorities and its personnel violate the provisions of these Measures, they shall be penalized according to the provisions of Article 38 or Article 39 of the Regulations.

The Measures shall be effective as of October 20, 2006. The implementation of the Measures will further regulate the direct selling activities and guide the direct selling industry on the right track in terms of development.

（一）　新　法　撮　要

商務部發佈辦法進一步加強直銷監管

為了進一步貫徹落實《直銷管理條例》（以下簡稱“《條例》”），加強對直銷活動的監管，商務部於9月20日頒佈了《直銷行業服務網點設立管理辦法》（中華法律網之參考編號: 10019403，以下簡稱“《辦法》”）。

《辦法》規定，申請直銷業務的企業提交的申請材料應包含其在擬從事直銷地區的服務網點方案。方案中的服務網點不得設在居民住宅、學校、醫院、部隊、政府機關等場所。

根據《辦法》，依法取得直銷經營許可證的企業應當於批准檔下發之日起6個月內按其上報並經商務部核准的服務網點方案完成服務網點的設立。6個月內未能按商務部核准的服務網點方案完成服務網點設立的企業，不得在未完成服務網點方案的地區從事直銷業務。該企業若要在上述地區開展直銷業務，應當另行申報。

《辦法》要求，相關的商務主管部門應當對直銷企業在其管轄範圍內已設立的服務網點進行核查，並將核查結果一次性報商務部備案。直銷企業不得在未完成核查和備案前開展直銷活動。

《辦法》規定，直銷企業可根據業務發展需要增加服務網點，在已批准從事直銷的地區增加服務網點不需要報批，但應當將增設方案通過省級商務主管部門報商務部備案。商務部備案後，公佈直銷企業在已批准從事直銷的地區增加的服務網點。直銷企業調整服務網點方案，減少服務網點應報原審批部門批准，並按規定備案。

《辦法》中還明確了相關的處罰措施。直銷企業、相關商務主管部門及其工作人員違反本辦法規定的，按照《條例》第三十八條、第三十九條規定予以處罰。

《辦法》自10月20日起實施。該《辦法》的實施，將會使直銷活動得到進一步規範，從而促使直銷行業沿著健康的方向發展。
