I. Highlights of New Laws

The State Administration of Foreign Exchange Implements Classification Administration on Foreign Exchange in Trade so as to Enhance So

In order to further improve the administration of collection and settlement of foreign exchange in trading goods (hereinafter referred to as the “Trade”), and to strengthen the efficiency in the authenticity administration over foreign exchange in the Trade, the State Administration of Foreign Exchange issued the “Notice of the State Administration of Foreign Exchange on the Relevant Issues Concerning Further Improving the Administration of Collection and Settlement of Foreign Exchange in Trade” (iSinoLaw Reference ID: 10019660, hereinafter referred to as the “Notice”) on September 29, 2006.

According to the Notice, the administrative departments of foreign exchange shall implement classification administration on the foreign exchange in Trade conducted by the foreign exchange collection units. The Foreign Exchange Bureaus shall carry out annual examination and verification on the foreign exchange collection units. The collection units shall be included in the list of the “enterprises being watched” if (1) the unit of which the difference between the foreign exchange collected under the Trade within one year and the total amount of the foreign exchange collectable within the same period amounts to 10 % (inclusive of 10 %); (2) the unit which has been punished by the Foreign Exchange Bureaus for breach of the provision on administration of foreign exchange within one year; or (3) the unit deemed by the Foreign Exchange Bureaus to be included in the list of the “enterprises being watched” according to the credit record and the period of business commencement thereof.

The Notice requires that with respect to the collection units not in the list of the “enterprises being watched”, the collection and settlement of foreign exchange thereof shall be directly transacted according to the relevant provisions. With respect to the collection units in the list of the “enterprises being watched”, the foreign exchange settlement for all revenue of the current account shall be transacted upon strict examination and verification according to the provisions of this Notice.

With regard to the collection units in the list of the “enterprises being watched”, if it intends to directly settle the foreign exchange of the current account or settle it after entering the foreign exchange current account, it shall provide the designated bank of foreign exchange (hereinafter referred to as the “Bank”) with the written statement on the nature of the foreign exchange to be settled. If any collection units in the list of the “enterprises being watched” fail to provide the relevant materials to certify the nature of the foreign exchange it collects, the Bank shall not transact the foreign exchange settlement for it without the approval of the Foreign Exchange Bureau.

Where a group corporation implements the centralized collection, payment and management of the foreign exchange capital of the current account with the approval of the Foreign Exchange Bureau, any member company thereof in the list of the “enterprises being watched” shall not participate in the centralized collection, payment and management of the foreign exchange capital of the current account of the group corporation to which it is affiliated. Any violation of the provisions shall result in the group corporation being disqualified for the centralized collection, payment and management of the foreign exchange capital of the current account.

This Notice shall not apply to the bonded areas, bonded ports, export processing zones, bonded logistics parks and the enterprises in the bonded logistics centers.

This Notice shall come into effect as of November 1, 2006. Not only facilitating the enterprise trading activities lawfully and normally conducted, this Notice also further strengthens the foreign exchange supervision on those “enterprises being watched”. This will result in the Chinese domestic enterprises being further regulated in terms of utilization of foreign exchange.

（一）　新　法　撮　要

國家外匯局分類管理貿易外匯促進貿易便利化

為進一步改進貨物貿易（以下簡稱“貿易”）外匯收匯和結匯管理，增強貿易外匯真實性管理的有效性，國家外匯總局於9月29日發佈了《國家外匯管理局關於進一步改進貿易外匯收匯與結匯管理有關問題的通知》（中華法律網之參考編號：10019660，以下簡稱“《通知》”）。

根據《通知》，外匯管理部門將對收匯單位貿易外匯實行分類管理。外匯局按年度對收匯單位進行考核，收匯單位 (一). 一年內貿易項下的收匯與同期貿易項下應收匯總額相差10％（含10％）以上的，(二). 一年內因違反外匯管理規定受到外匯局處罰的或者 (三). 信用記錄、開業期限等不符合要求的，將會被列入“關注企業”名單。

《通知》要求，對“關注企業”名單以外的收匯單位，按相關規定直接辦理收匯與結匯；對“關注企業”名單以內的收匯單位，經常專案全部收入應當按照該《通知》規定經嚴格審核後辦理結匯。

凡“關注企業”名單以內的收匯單位，經常專案外匯直接結匯或進入經常專案外匯帳戶後結匯，應當向外匯指定銀行（以下簡稱“銀行”）提供關於結匯款項性質的書面說明。列入“關注企業”名單的收匯單位，無法提供相關材料證明收匯款項性質的，未經外匯局核准，銀行不得為其辦理結匯手續。

經外匯局批准集團公司實行經常專案外匯資金集中收付和集中管理的，被列入“關注企業”名單的成員公司不得參加所屬集團公司的經常專案外匯資金集中收付和集中管理。違反規定的，將取消所屬集團公司經常專案外匯資金集中收付和集中管理資格。

保稅區、保稅港、出口加工區、保稅物流園區和保稅物流中心企業不適用該《通知》的規定。

《通知》自2006年11月1日起實施。該《通知》既便利了正常合法經營的企業的貿易活動，同時也進一步加強了對“關注企業”外匯的監管，將使中國境內企業的外匯使用活動更加規範。
