I. Highlights of New Laws

China Banking Regulatory Commission Issued Notice to Give Detailed Provisions on Client-entrusted Overseas Banking Business Engaged by Commercial Banks

As the operation scale of banking service business has been growing recently, the problems arising therefrom also becomes numerous. In order to further regulate the client-entrusted overseas banking business of commercial banks, and promote its development in a healthy and orderly manner, the China Banking Regulatory Commission, on June 21, 2006, again issued the ¡§Notice on Relevant Issues Concerning Commercial Banks in Launching the Client-entrusted Overseas Banking Business¡¨ (iSinolaw Reference ID: 10016870, hereinafter referred to as the ¡§Notice¡¨) following the promulgation of the ¡§Provisional Measures for Administration of Commercial Banks in Launching the Client-entrusted Overseas Banking Business¡¨ in April. The Notice gives detailed provisions as to the application, investment scope, selection of trustee and banking mode of the commercial banks which intend to launch client-entrusted overseas banking business.

The Notice prescribes that if any commercial bank conducts the client-entrusted overseas banking business, it may sell foreign currency banking products within the territory of China, and conduct overseas banking investment with the foreign currency owned by the clients. It may also sell Renminbi banking products within the territory of China and may conduct the client-entrusted overseas banking business through the purchase of the foreign currencies by Renminbi.

Regarding the foreign-owned banks, the conditions and requirements for the application for launching client-entrusted overseas banking business are basically identical to those for Chinese-invested commercial banks. However, foreign-owned banks shall carry out the client-entrusted overseas banking business within the scope approved by the China Banking Regulatory Commission. When a foreign-owned bank applies for launching client-entrusted overseas banking business, its main reporting bank or its Head Office shall submit the application materials to the detached office of the China Banking Regulatory Commission in the place where it is located. After the application is entertained and preliminarily verified by the detached office of Banking Regulatory Commission in the place where such foreign-owned bank is located, such detached office shall submit the application to the China Banking Regulatory Commission for examination and decision.

As to the issue of launching the banking business by way of consolidated banking service, the Notice requires that the commercial bank shall follow the principle of prudent operation to invest in the overseas fixed-income products including bonds, bills and structural products of a fixed-income nature. If investment in non-fixed-income or comparatively high risk income products is required, the commercial bank shall specifically describe the object to be invested in, main risks and the corresponding measures for disposal, management and control of the risks when it submits the application for the sales of relevant banking products.

The Notice shall be effective as of the promulgation date. As a result of the implementation thereof, we believe that it would be advantageous for domestic financial institutions to be more familiar with the international finance market, foster their ability of independent investment management, increase their sense and level in risk management and increase the overall competitiveness of domestic finance industry.
