I. Highlights of New Laws

Shanghai Stock Exchange Promulgated the Provisions to Regulate the Listing Examination

In order to regulate the examination of securities listing on the Shanghai Stock Exchange, the Shanghai Stock Exchange promulgated the “Interim Provisions on the Examination of Securities Listing on the Shanghai Stock Exchange” (iSinoLaw Reference ID: 10016513 , hereinafter referred to as the “Provisions”) on June 12, 2006.

Under the Provisions, the securities listing examination shall be done by the Listing Committee specially set up by the Shanghai Stock Exchange. The voting regarding the subject matter of the examination shall be conducted by disclosed ballot. Each committee member who participates in the examination has one vote. The resolution of the examination shall be valid only after being adopted by more than two-third of the committee members participating in the examination.

If the securities listed in the Shanghai Stock Exchange are in suspension or termination of listing, the relevant business department of the Stock Exchange shall put forward the disposal suggestions which shall be submitted to the Listing Committee for examination and shall also notify the issuer.

If the Listing Committee convenes an examination meeting to conduct examination, the meeting shall be presided by the convener who is designated by the Stock Exchange among those members attending the meeting. The examination meeting shall proceed according to the following agenda: (1) After the committee members attending the meeting have met the quorum, the committee members fill in the details as to whether they have contacted with the applicant previously or involved in the withdrawal matters, which are then submitted to the Working Group for verification. Thereafter, the convener declares the meeting open and presides the meeting. (2) The convener organizes the committee members to state their personal opinion on the subject matters one by one. (3) The convener summarizes the major examination opinion of the committee members and forms the examination opinion for the examination meeting regarding the subject matters. (4) The committee members confirm the minutes of the examination meeting and the record of the examination opinion and acknowledge them by signatures put thereon. (5) The committee members vote. (6) The Working Group monitors the voting and counts the result of the voting. (7) The convener announces the voting result. (8) The committee members sign on the voting result of the examination meeting.

The Listing Committee shall carry out the examination over a subject matter once. If there are any significant matters to be verified or other situations which may seriously affect the correct judgement of the committee members is discovered, the voting regarding the subject matter of the examination may be suspended once upon consent of more than half of the members participating the examination. If a securities issuer is aggrieved at the decision made by the Shanghai Stock Exchange, it may apply for a review at the Review Committee of the Stock Exchange within the prescribed time limit. The decision of the Shanghai Stock Exchange shall still be enforceable during the review period.

The Provisions shall be effective as of the promulgation date. The implementation of the Provisions will play an active role in guiding the examination of the securities listing on the Shanghai Stock Exchange.

（一）　新　法　撮　要

上證所發佈規定規範證券上市審核工作

為規範上海證券交易所證券上市審核工作，上海證券交易所於6月12日發佈了《上海證券交易所證券上市審核暫行規定》（中華法律網之參考編號：10016513，以下簡稱“《規定》”）。

根據《規定》，證券上市審核工作將由上海證券交易所專門設立的上市委員會完成。審核事項的表決採用記名投票方式，參加審核的委員每人享有一票表決權。審核決議須由參加審核的三分之二以上委員表決通過方為有效。

在上海證券交易所上市的證券出現暫停上市、終止上市情形的，由該所相關業務部門提出處理建議，提交上市委員會審核，並通知發行人。

上市委員會審核時召開審核會議的，會議由上證所從參會委員中指定的會議召集人主持。會議審核按照下列議程進行：（一）出席會議委員達到規定人數後，委員填寫是否存在與申請人事先接觸或是否存在回避事項的有關說明，交由工作小組核對後，召集人宣佈會議開始並主持會議。（二）召集人組織委員對審核事項逐一發表個人審核意見。（三）召集人總結委員的主要審核意見，形成審核會議對審核事項的審核意見。（四）委員對審核會議記錄、審核意見記錄確認並簽名。（五）委員進行投票表決。（六）工作小組負責監票及統計投票結果。（七）召集人宣佈表決結果。（八）委員在審核會議表決結果上簽名。

上市委員會對審核事項只進行一次審核。如發現存在尚待核實的重大事項或其他嚴重影響委員正確判斷情形，經參加審核的過半數委員同意，可對該審核事項暫緩表決一次。證券發行人不服上海證券交易所作出的決定，可以在規定的時間內向該所復核委員會申請復核，復核期間交易所的決定不停止執行。

《規定》自發佈之日起施行。該《規定》的實施將會對上海證券交易所的證券上市審核工作起到積極的指導作用。
