The Three
Departments Jointly Promulgated the Measures to Promote the Inflow of Foreign
Capital into Domestic Securities Capital Market
As a result of speedy economic development in
For the purpose of encouraging long and medium term investment, the long-term fund management institutions which comply with the provisions of these Measures such as pension fund, insurance fund, common fund and charity fund shall be considered with priority in terms of examination on the application materials and investment limit of the applicant for the qualification.
The Measures clearly define the conditions and duties of the trustee of qualified foreign institutional investors (QFII). The domestic branches of foreign-invested commercial banks which have conducted the business for 3 consecutive years or more may make an application to become trustees. The amount of the paid-up capital of the branches shall be calculated based on the amount of its Head Office. Moreover, the Measures provide that Each QFII shall only entrust 1 trustee and may replace its trustee with another.
The Measures also defines the scope of the QFII. The Measures shall also apply to the institutional investors which are established in the Hong Kong Special Administrative Region, the Macao Special Administrative Region and Taiwan Region to engage in securities investment in the Mainland.
The Measures shall be effective as of September 1, 2006 to
substitute the Provisional Measures promulgated in November 2002. With the
advanced and improved measures, the inflow of foreign capital into

（一） 新 法 撮 要
三部委發佈《管理辦法》 促進外資進入證券資本市場
近年來，隨著我國經濟的高速發展，資本市場也吸引了越來越多的外國投資者的注意。為了鼓勵更多的合格境外機構投資者長期在我國證券市場投入資金，促進我國資本市場的健康發展，中國證監會、中國人民銀行和國家外匯管理局於本月24日聯合發佈《合格境外機構投資者境內證券投資管理辦法》(中華法律網之參考編號:
10018661；以下簡稱“《辦法》”)，該法規在吸引長期資金進入中國資本市場和完善投資監管方面有了突破。
為鼓勵中長期投資，在審核申請人的資格申請材料、投資額度審批等方面，對於符合辦法規定的養老基金、保險基金、共同基金、慈善基金等長期資金管理機構，予以優先考慮。
《辦法》對合格境外機構投資者託管人的條件、職責等予以了明確規定。其中，外資商業銀行境內分行在境內持續經營3年以上的，可申請成為託管人，其實收資本數額條件按其境外總行的計算。《辦法》規定，每個合格投資者只能委託一個託管人，並可以更換託管人。
《辦法》還明確了合格境外機構投資者的範圍，規定香港特別行政區、澳門特別行政區、臺灣地區設立的機構投資者到內地從事證券投資的，適用《管理辦法》的規定。
