I. Highlights of New Laws

The Stock Exchanges Issued the Rules to Open the Gateway for the Transfer of Tradable Shares of Listed Companies by Agreement

In order to regulate the activities of transfer of tradable shares by agreement made by listed companies which have completed the equity division reform, to satisfy merger and acquisition, reorganization and other specified shares transfer arising in ordinary operation of relevant companies, to safeguard the order of securities market, and to protect the legitimate rights and interests of investors, the Shanghai Stock Exchange, the Shenzhen Stock Exchange and the China Securities Depository and Clearing Corporation Limited jointly promulgated the “Interim Rules on Conducting the Business of Transfer of Tradable Shares of Listed Companies by Agreement” (iSinolaw Reference ID:10018361, hereinafter referred to as the “Rules”) on the 14^th day of this month.

Under the Rules, the transfer of tradable shares of listed company by agreement shall be conducted in the stock exchange and be subject to the centralized and unified processing of the Shanghai Stock Exchange, the Shenzhen Stock Exchange (hereinafter referred to as “the Stock Exchanges”) and the China Securities Depository and Clearing Corporation Limited (hereinafter referred to as “the CDC”). Moreover, off-board illegal share trading and transfer activities shall be strictly prohibited.

The Rules clearly define that the transferor of shares shall not transfer the shares with the purpose of eluding the provision of restricted selling. Regarding the application for transfer of shares which are made without complying with the provisions of these Rules, the Stock Exchanges shall have the power not to confirm the transfer of shares while the CDC shall have the power not to transact the formalities of transfer registration.

The Rules provide that the transferee of the specific shares shall not make an application for the relevant transfer by agreement concerning the same transferred shares at the Stock Exchanges and the CDC again within three months after the completion of such shares transfer.

The Rules shall be effective as of the promulgation date. Since the implementation of the Rules, it has been enhancing the safeguard of securities market order and creating an advantageous environment for injecting more and more quality capital into listed companies with a view to protecting the legitimate right and interest of investors thereby.

（一）　新　法　撮　要

證交所發佈《規則》上市公司流通股協議轉讓開閘

為規範已完成股權分置改革上市公司的流通股股份協議轉讓行為，滿足相關公司因正常經營所產生的並購重組等特定股份轉讓需求，維護證券市場秩序，保護投資者的合法權益，上海證券交易所、深圳證券交易所及中國證券登記結算有限責任公司於本月14日聯合發佈了《上市公司流通股協定轉讓業務辦理暫行規則》（中華法律網之參考編號：10018361，以下簡稱“《規則》”）。

根據《規則》，上市公司流通股協議轉讓必須在證券交易所進行，由上海證券交易所、深圳證券交易所(以下簡稱“證券交易所”)和中國證券登記結算有限責任公司(以下簡稱“結算公司”)集中統一辦理，而且，嚴禁進行場外非法股票交易和轉讓活動。

《規則》明確指出，股份出讓人不得以規避限售規定為目的進行股份轉讓。對於未按照《規則》規定提出的股份轉讓申請，證券交易所有權對股份轉讓不予確認，結算公司有權不予辦理過戶登記手續。

《規則》規定，股份過戶完成後3個月內，同一股份受讓人不得就其所受讓的股份再次向證券交易所和結算公司提出有關協議轉讓的申請。

《規則》自頒佈之日起實施。《規則》的實施，會更好的維護證券市場秩序，為上市公司增量優質資產注入創造了有利的環境，從而保護了投資者的合法權益。
