I. Highlights of New Laws

The MOC Issued a Notice to Strengthen the Supervision over Direct Selling

In order to thoroughly implement the “Regulations on Administration of Direct Selling” and the “Regulations on Prohibition of Multi-Level Marketing” (hereinafter referred to as “the Regulations”), and to strengthen the supervision over direct selling activities conducted by the direct selling enterprises, the Ministry of Commerce promulgated the “Notice on Issues Concerning Strengthening the Administration of Direct Selling Enterprise Engaging in Direct Selling Activities” (iSinoLaw Reference ID:10018146, hereinafter referred to as the “Notice”) on August 8, 2006. The Notice requires the direct selling enterprises to carry out direct selling activities in strict compliance with the provisions of the Notice and also defines the five circumstances where the direct selling business license will be revoked.

The Notice stipulates that before carrying out the training and direct selling activities, the enterprise shall submit a list of direct selling trainers of the enterprise to the Ministry of Commerce for filing, and the enterprise shall recruit personnel and provide training and examination to them only after the Ministry of Commerce has publicized the approval in the information system of direct selling industrial administration. If the enterprise is in breach of the above-said provision, its business license shall be suspended. If the circumstance is serious, the Ministry of Commerce shall revoke its direct selling business license.

The trainer of direct selling enterprise shall conduct the training in strict compliance with the Regulations and relevant provisions. If the trainer is in breach of the said provisions, the Ministry of Commerce shall cancel the file of the trainer. The enterprise shall also take back the pass of direct selling trainer while the trainer shall not be allowed to conduct training activities. If the circumstance is serious, the Ministry of Commerce shall revoke the direct selling business license of such direct selling enterprise.

If the direct selling enterprise appropriate the guarantee deposit without permission, or adjust the guarantee deposit without compliance with the provisions, or the guarantee deposit has been frozen by judicial organ, the direct selling business license shall be suspended. If the enterprise fails to rectify the fault upon notification, the Ministry of Commerce shall revoke its direct selling business license.

The direct selling enterprise shall truly, accurately and completely disclose relevant information to the public in strict compliance with the Regulations and the relevant provisions, and shall report to the Ministry of Commerce and the State Administration for Industry and Commerce for filing. The direct selling enterprise shall be prohibited from misleading consumers by way of high profile promotion. If there is any breach of the said provisions, its direct selling business license shall be suspended. If the enterprise fails to rectify the fault upon notification, the Ministry of Commerce shall revoke its direct selling business license.

If there is any change in the investor, shareholding, registered capital, the remuneration system of direct sales, market planning report and other matters of the direct selling enterprise, the change thereof shall comply with the Regulations and shall be reported to the Ministry of Commerce for approval. If the enterprise no longer satisfies the conditions of direct selling, the Ministry of Commerce shall revoke its direct selling business license.

After such implementation, this Notice will further regulate the direct selling enterprises in their direct selling activities and will definitely exert positive influence on the direct selling industry of China.

（一）　新　法　撮　要

商務部發佈通知加強對直銷活動監管

為貫徹實施《直銷管理條例》、《禁止傳銷條例》（以下簡稱“《條例》”），加強對直銷企業直銷活動的監管，商務部於8月8日發佈了《商務部關於加強管理直銷企業從事直銷活動有關問題的通知》（中華法律網之參考編號：10018146，一下簡稱“《通知》”）。《通知》要求直銷企業嚴格按照《條例》的規定開展直銷活動，並明確了吊銷直銷經營許可證的5種情況。

《通知》規定，企業在開展培訓和直銷活動前，應將本企業直銷培訓員名單報商務部備案，待商務部在直銷行業管理資訊系統公佈後，企業方可招募人員並對被招募人員進行培訓、考試。企業如有違反，暫停直銷經營許可；情節嚴重的，商務部吊銷其直銷經營許可證。

直銷企業培訓員應嚴格按照《條例》及相關規定依法從事直銷培訓。如有違反，商務部撤銷該培訓員備案，企業收回直銷培訓員證，該培訓員不得從事培訓活動；情節嚴重的，商務部吊銷直銷企業的直銷經營許可證。

直銷企業擅自動用保證金，或未按規定調整保證金，或繳存的保證金被司法機關凍結，暫停直銷經營許可；經告知拒不改正的，商務部吊銷其直銷經營許可證。

直銷企業應嚴格按照《條例》及相關規定，真實、準確、完整地向社會公眾披露相關資訊，並向商務部、工商總局報備。嚴禁直銷企業高調炒作，誤導消費者。如有違反，暫停直銷經營許可；經告知拒不改正的，商務部吊銷其直銷經營許可證。

直銷企業的投資者、股權、註冊資本、直銷員計酬制度、市場計畫報告書等事項發生變更，須符合《條例》規定，並報商務部批准。對不再符合直銷經營條件的，商務部吊銷其直銷經營許可證。

《通知》的頒佈實施，將使直銷企業的直銷行為得到進一步的規範，對中國直銷行業的發展也將起到積極的作用。
